　　These Terms and Conditions (‘Terms and Conditions’) apply to the use of the Charlesworth Author Services website(http://staging.cwauthors.com.cn/，hereinafter referred to as “Author Services website” ). Other terms and agreements (such as privacy policy) in the Author Services website are part of and have the same effect as the Terms & Conditions.

　　By accessing or using this website (directly or indirectly) you, the customer (hereafter referred to as ‘You’), agree to be bound by these Terms and Conditions. These Terms and Conditions apply to the Charlesworth Group and its affiliates, including but not limited to C-Worth Data Services (Beijing) Co., Ltd, Charlesworth (Beijing) Information Services Co., Ltd. and other affiliates established by the Charlesworth Group in the future.

　　4.5. The Charlesworth Group is not responsible for making backups or any archive copies of files submitted by you and is not, under any circumstances, responsible to you or any other person for any loss, corruption or alteration of such files.

　　4.6. You acknowledge that The Charlesworth Group owns all right, title and interest in and to the Service (the ‘Charlesworth Rights’) and such Charlesworth Rights are protected by UK/international intellectual property laws and the laws of the country where you are located.

　　6. Use of the Service

　　6.1. The Charlesworth Group agrees to carry out the Service requested in a professional manner, in the timeframe specified during the initial order, while taking into consideration any additional instructions given by you with regard to the work to be carried out.

　　6.2. The Charlesworth Group has the right to request further materials from you in order to complete the work efficiently. For example, asking for the provision of figures, tables, or graphs as necessary.

　　7. Timeliness of delivery

　　7.1. If materials are not received promptly on request then the completion date for any work will be extended by the number of days it takes for these materials to arrive (e.g. if figures are requested for a paper and these do not arrive for four days, then The Charlesworth Group will add four days onto the completion date you were originally provided with).

　　7.2. Any additional modifications/amendments/additions requested by you, after the initial order for the Service has been placed, may be subject to an additional charge or to extension of the completion date.

　　7.4. Authors should take care to upload the correct files, and be sure of their intentions for The Charlesworth Group to carry out the Service when submitting their manuscripts as costs will be incurred and payable by the author.

　　作者在上傳文件時應(yīng)謹(jǐn)慎，作者應(yīng)知曉并確認(rèn)其在提交稿件后即被視為同意查爾斯沃思集團(tuán)為其提供服務(wù)并同意承擔(dān)和支付相應(yīng)費(fèi)用。

　　8. Payment

　　8.1. If you need to cancel or modify an order after placing it, please contact customer service before the review is completed (within one working day after placing the order). Once the order is reviewed and approved, we will start to polish the manuscript, the order cannot be cancelled or modified, and you will pay the order amount according to the reviewed fee.

　　如您在下單后需要取消或修改訂單，請審核完成前(下單后一個工作日內(nèi))聯(lián)系客服。訂單審核通過后會，我們會開始對文章進(jìn)行潤色，則訂單無法取消或修改，您需按照審核后的費(fèi)用支付訂單款項。

　　8.2. If you have selected payment up front, you will be provided with the complete paper on completion of the editing process via an automated email notification.

　　8.3. Where payment on completion is selected, you will be provided with a sample of the polished/edited manuscript prior to making payment.

　　8.3.1. Once you have received the sample, you will be required to pay the full amount requested by The Charlesworth Group within three working days.

　　8.3.2. The completed manuscript will be made available to you when payment is received in full.

　　8.4. Please note that the word count of your paper will be checked on submission in order to validate that the file and work required tally with the relevant service ordered.

　　8.5. Payment will be required based on the validated word count once your files have been checked.

　　8.6. You will be notified by email with details of the correct amount to check before proceeding.

　　8.7. Please note that payments made by bank transfer are subject to additional fees which must be paid by you at the time the payment transaction is made.

　　8.8. Your completed paper will be returned in the file format it was received in via our website and supported by an email notification.

　　8.9. You agree to pay, in full and within three working days, the amount requested by The Charlesworth Group for the Service provided – whether requests for payment are made online or via a printed invoice.

　　8.11. Any failure to comply with a request for payment could lead to further charges and/or the initiation of legal proceedings.

　　8.12. Should you withdraw any work from The Charlesworth Group, for any reason, following the initial order, then you will be liable to pay for any work carried out up to the time/day when this work was withdrawn. You will be advised of any charges incurred at this time.

　　9. Institutional Clients

　　9.1. Referral Clients

　　9.1.1. If you are an author of an institutional referral client, meaning you have used the client's exclusive referral code on the Author Service Website, the author is eligible to receive a corresponding discount.

　　如您為機(jī)構(gòu)推介客戶的作者，也即在作者服務(wù)網(wǎng)站中使用了該客戶的專屬推介碼，作者可以獲得相應(yīng)的折扣。

　　9.1.2. In accordance with the requirements of the institutional referral client, we may share with the institutional referral client information regarding the number of the author’s articles, author name, article titles, and the service fees for each article.

　　根據(jù)機(jī)構(gòu)推介客戶要求，我們可能會與該機(jī)構(gòu)推介客戶分享作者的文章的數(shù)量、作者名稱、文章題名、每篇文章的服務(wù)費(fèi)用等。

　　9.1.3. Except for the specific provisions set forth in this clause, the author must also comply with the other terms and conditions outlined herein.

　　除本條約定的特殊內(nèi)容外，作者還需遵守本條款和條件的其他約定。

　　9.2. Prepayment Clients

　　9.2.1. Prepayment clients are institutional clients who have paid a prepayment fee to The Charlesworth Group and have received an invoice issued by The Charlesworth Group. Once prepayment clients have made the payment to The Charlesworth Group and received the issued invoice, they are deemed to have agreed to and be bound by these terms and conditions.

　　預(yù)存款客戶為向查爾斯沃思集團(tuán)支付了預(yù)存款費(fèi)用，且接收了查爾斯沃思集團(tuán)提供的發(fā)票的機(jī)構(gòu)客戶。一旦預(yù)存款客戶向查爾斯沃思集團(tuán)支付了款項且接收了開具的發(fā)票，則視為同意本條款與條件的內(nèi)容并受其約束。

　　9.2.2. Contacts or designated authors of prepayment clients may use the client's prepayment and act on the clients behalf to exercise the rights and obligations under these terms and conditions. Such contacts or designated authors refer to the personnel who liaise with The Charlesworth Group for payment and Fapiao issuance, as well as authors designated by such personnel to use the prepayment. Prepayment clients and their contacts or designated authors are hereinafter collectively referred to as "you."

　　預(yù)存款客戶的聯(lián)系人或者指定作者可以使用該客戶的預(yù)存款，并代表該客戶履行本條款和條件中的權(quán)利和義務(wù)。上述聯(lián)系人或指定作者指與查爾斯沃思聯(lián)系款項支付及發(fā)票開具的人員，以及該人員指定可以使用預(yù)存款的作者。預(yù)存款客戶及其聯(lián)系人或指定作者以下統(tǒng)稱為“您”。

　　9.2.3. The price of an individual service order is based on the publicly displayed price on the Author Service Website and the final discounted price offered to you. If you have submitted an order on the Author Service website, the deduction for the order will be completed after the order review is completed, and we will deduct the corresponding order amount from your deposit. If your prepayment balance is insufficient to cover the service fee for the order, you are required to make up the shortfall.

　　單個服務(wù)訂單的價格以本作者服務(wù)網(wǎng)站公示價格以及我們給予您的最終優(yōu)惠價格為準(zhǔn)。如您在作者服務(wù)網(wǎng)站中提交了訂單，則針對該筆訂單的扣費(fèi)將在訂單審核完成后完成，我們會在您的預(yù)存款中扣除相應(yīng)訂單金額。如您的預(yù)存款余額不足以支付本筆訂單服務(wù)費(fèi)用的，您應(yīng)當(dāng)補(bǔ)足不足部分。

　　9.2.4. We reserve the right to adjust prices without prior notice to you, and such adjustments shall not be considered a breach of contract.

　　9.2.5. You acknowledge and agree that prepayment fees that have been collected by us are non-refundable.

　　9.2.6. If an author uses the prepayment client's prepayment to pay for order fees, it is deemed that the author agrees that we have the right to share with the client information regarding the number of the author's articles, author name, article titles, and the service fees for each article.

　　作者如果使用預(yù)存款客戶預(yù)存款支付訂單費(fèi)用，即視為同意我們有權(quán)與該客戶分享作者的文章的數(shù)量、作者名稱、文章題名、每篇文章的服務(wù)費(fèi)用等。

　　9.2.7. Except for the specific provisions set forth in this clause, you must also comply with the other terms and conditions outlined herein.

　　除本條約定的特殊內(nèi)容外，您還需遵守本條款和條件的其他約定。

　　10. Complaints

　　10.1. Should you not be entirely satisfied with the Services carried out by The Charlesworth Group, then you are entitled to a second round of editing on the same manuscript for free within a mutually agreeable timeframe. However, any amendments requested at this stage that were not part of the original order (for example, text additions/deletions, or comments from our editors not being responded to) may be subject to an additional charge.

　　如果您對查爾斯沃思集團(tuán)提供的服務(wù)不滿意，您有權(quán)在雙方約定的期限內(nèi)要求我們免費(fèi)對同一手稿進(jìn)行第二輪編輯。但是，您在此階段要求的任何超出原始訂單的修改內(nèi)容(如文本的添加/刪除或我們編輯的評論未得到回復(fù)等)，均可能會被收取額外費(fèi)用。

　　10.2. If The Charlesworth Group deems the complaint to be unfounded, and any problems not the fault of The Charlesworth Group, then any further amendments may, again, be charged.

　　如果查爾斯沃思集團(tuán)認(rèn)為您的投訴沒有根據(jù)，或者并非查爾斯沃思集團(tuán)的過錯導(dǎo)致，那么您進(jìn)一步修改的要求可能會被收取額外費(fèi)用。

　　10.3. Any further complaints about the Service provided by The Charlesworth Group should be directed in the first instance by email to: helpdesk@cwauthors.com.

　　10.4. The Charlesworth Group will aim to respond to all complaints within one working day, within which we will acknowledge your communication and indicate the action we will take to investigate your complaint and the expected time for resolution.

　　查爾斯沃思集團(tuán)(Charlesworth Group)會盡量在一個工作日內(nèi)答復(fù)所有投訴，在該期限內(nèi)，我們將確認(rèn)您的來信并提供我們將采取何種行動調(diào)查您的投訴以及預(yù)計的解決時間。

　　10.5. If, after this time, any dispute cannot be resolved between you and The Charlesworth Group then a mutually agreed third party may be contacted to settle the issue.

　　11. Law

　　11.1. Matters relating to the use of the site, the Service and this agreement, including any disputes, will be governed and interpreted according to the laws of China.

　　11.2. Both you and The Charlesworth Group agree that any actions arising under this agreement shall be proper and brought in the courts where The Charlesworth Group Beijing Office (C-Worth Data Services (Beijing) Co., Ltd.) is based.

　　11.3. In case of any inconsistency between the Chinese and English languages in those Terms and Conditions, the Chinese shall prevail.

　　12. Disclaimer of Warranties and Liability

　　12.1. The Service is provided ‘as is’ and without warranty of any kind including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free or uninterrupted service.

　　12.2. The Charlesworth Group makes no warranty of any kind with respect to the subject matter included herein, the products listed, or the completeness or accuracy of the information.
